本协议是您与Skyee Hongkong Company Limited及关联公司（以下简称“Skyee”）之间关于工资汇款出境服务所拟定的协议(以下简称“本协议”)。您在使用 Skyee旗下的SkyRemit服务以及访问和使用Skyee的网站(本协议中的“网站”包括www.skyee360.com、Skyee各移动网站以及移动应用程序，Skyee微信公众号等)及其由公司与合作机构共同提供的服务(以下简称“SkyRemit”或“服务”)时必须遵守本协议各项条款规定。

This Agreement (this "Agreement") is entered into by and between you and Skyee Hongkong Company Limited and affiliated companies ("Skyee") with respect to the payroll remittance outbound service. You must follow all provisions set forth in this Agreement when using the SkyRemit service ("SkyRemit" or the "Service") provided by Skyee and when accessing and using Skyee's Website ("Website" in this Agreement includes www.skyee360.com, all Skyee mobile websites and mobile applications, Skyee WeChat account, etc.) and the services provided by the Company and our partner.

您在同意接受本协议之前，请您仔细阅读本协议的全部内容，尤其是本协议加粗部分。如果您不同意受本协议约束,请不要访问或使用该服务。如访问和使用本服务即表示您同意本协议。

Please read this Agreement carefully and in full, especially the highlighted parts of this Agreement, before agreeing to be bound by it. Do not access or use the Service if you do not agree to be bound by this Agreement. By accessing and using the Service, you are consenting to this Agreement.

Skyee保留在不提前通知用户的情况下，对本协议条款或业务规则做任何修改或补充的权利，修改或补充后的协议条款或业务规则将在本网站公布，并自公布时立即生效。未来发布的任何新的基于本服务的增强功能，包括新的工具和资源都将自动适用本协议，您继续访问本网站或继续使用新服务即视为您接受修订后的本协议及业务规则；否则，您应通过停止访问且拒绝使用服务、删除您在本网站的帐户等方式终止本协议。

Skyee reserves the right to make any modifications or additions to the terms of this Agreement or the Business Rules from time to time without prior notice to the user, and such modifications or additions will be posted on this Website and will become effective immediately when posted. Any new enhancements to the Service, including new tools and resources, that are released in the future will automatically be subject to this Agreement. Your continued access to the Site or continued use of the new Services will be deemed to be your acceptance of this Agreement and the Business Rules as amended; otherwise, you may terminate this Agreement by ceasing access and refusing to use the Services, deleting your account on the Website, etc.

您所在国家和地区的汇款服务(“所在地汇款”)由Skyee及合作机构(以下简称“合作机构”)提供，Skyee及合作机构均持有您所在的当地合法的金融汇款牌照。

The remittance service in your country and region ("Local Remittance") is provided by Skyee and our partner ("Partner"). Skyee and our partner each hold a legal financial remittance license in your local area.

您知晓并同意：

You acknowledge and agree that:

1.您向Skyee提供的信息将被发送至Skyee或合作机构并用于注册Skyee或合作机构的用户账户以便为您提供服务；

1. The information that you provide to Skyee will be sent to Skyee or our partner and used to register a user account with Skyee or our partner for the provision of services to you.

2.所在地汇款由Skyee或合作机构提供，您授权Skyee或合作机构接收您的汇款请求并为您汇出款项；如果有需要，您同意Skyee公司或Skyee与合作机构合作共同完成服务；

2. The location remittance is provided by Skyee or our partner, and you authorize Skyee or our partner to receive your remittance request and remit the money for you; if necessary, you agree that Skyee complete the Service alone or in cooperation with our partner.

3.您承诺自己在使用Skyee提供的相关服务时，实施的所有行为均遵守国家法律、法规和Skyee的相关规定，且不违背社会公共利益及公共道德。您利用本服务从事违法、犯罪活动或不正当交易产生的一切后果与责任，由您自行承担。

3. You undertake that all acts performed by you when using the relevant services provided by Skyee will comply with national laws, regulations and relevant provisions of Skyee, and will not violate the public interest or social morality. Any consequences and liabilities arising from your use of the Service for illegal or criminal activities or improper transactions are your sole responsibility.

在使用本协议时，“公司”、“我们”、“我方”和“我们的”均指代Skyee及其员工、顾问、总监、继承者、子公司、附属公司。“您”和“您的”均指代本服务的用户，包括汇款人或网站访客。

In the context of this Agreement, "Company", "we", "us" and "our" all refer to Skyee and our employees, consultants, directors, successors, subsidiaries and affiliates. The terms "you" and "your" refer to the user of the Service, including the remitter or website visitor.

一、服务概述

I. Overview of the Service

1.1本服务是为了帮助您在中国大陆取得税后收入（包括但不限于日常工资、劳务收入等）向中国大陆以外的您的本人账户发送汇款为目的而创建的。请您切勿使用本服务向陌生人汇款。

1.1 This Service is created for facilitating the remittance of your after-tax income (including but not limited to daily wages, labor income, etc.) earned in Mainland China to your own account outside of Mainland China. Please do not use the Service to remit money to strangers.

1.2本服务旨在帮助用户在全球范围内汇款、请求汇款。“汇款人”指的是利用本服务进行汇款的个人。“收款人”指的是通过本服务接收汇款的个人（即您本人）。“交易”指的是通过本服务进行汇款的具体操作。“交易金额”指的是您针对相关交易而向我们提供的金额(不包括交易费)。“支付金额”指的是向收款人支付的金额，不包括依据收款国家/地区相关法律可能征收的税费或手续费(“地方税”)。Skyee及合作机构概不负责任何用户依据收款国家/地区相关法律可能征收的税费或手续费(“地方税”)。

1.2 This Service is designed to help users remit payments or request remittances on a global basis. The "Remitter" refers to an individual who uses the Service to remit payments. "Recipient" refers to an individual who receives payments through the Service (i.e. you). "Transaction" refers to the specific action of remitting a payment through the Service. "Transaction Amount" means the amount you provide to us for the relevant transaction (excluding transaction fees). "Payment Amount" means the amount paid to the recipient, excluding any taxes or fees that may be levied under the relevant laws of the receiving country ("Local Taxes"). Skyee and our partner are not liable for any taxes or charges that may be levied by any User in accordance with the relevant laws of the receiving country ("Local Taxes").

1.3 为使用本服务：

1.3.1您同意根据Skyee的要求为每笔汇款申请向Skyee提供相关的汇款凭证及满足Skyee根据其届时的法律法规、风控合规规则而要求的其他材料（合称为“必要凭证”），包括但不限于您的收入证明等；

1.3.1 You agree to provide Skyee with relevant vouchers for each remittance request as required by Skyee and such other materials as may be required by Skyee pursuant to our prevailing laws, regulations and risk control compliance rules (collectively, the "Required Vouchers"), including, but not limited to, proof of your income.

1.3.2您确认并同意，您将基于充分理解和同意届时服务页面所显示内容的基础上（特别是服务费标准等相关内容），向我们提交SkyRemit服务申请（“汇款申请”），您的汇款申请所含的汇兑指令和汇款指令（“支付指令”）将构成对Skyee不可撤销的指示。

1.3.2 You acknowledge and agree that you will submit to us an application for the SkyRemit Services ("Remittance Application") that is based on your full understanding and agreement with the content displayed on the Services page at that time (in particular, the content relating to the service fee rates etc.), and the exchange instructions and remittance instructions contained in your remittance application ("Payment Instructions") will constitute irrevocable instructions to Skyee.

1.4您知晓并同意如下：

1.4 You acknowledge and agree as follows:

1.4.1您的支付指令一旦发出即不可撤销；

1.4.1 Your payment instructions, once given, are irrevocable.

1.4.2您与Skyee关联企业和合作银行之间也形成代理服务关系，他们将与Skyee一并作为您的汇款代理人将汇款款项支付至您指定的且经Skyee审核通过的收款人（即您本人）账户中;

1.4.2 You and Skyee's affiliates and partner banks also form a relationship of agency service, and they will act together with Skyee as your remittance agent to disburse the remittance to the recipient’s (i.e. your) account designated by you and approved by Skyee;

1.4.3如需换汇，页面展示的汇率仅为参考汇率，由合作银行提供汇率标价。实际汇率将在您发起“确认汇率”时锁定，一旦您发起了“确认汇率”，表示您接受您确认时页面展示的汇率。您知悉并理解因汇率变动产生的损失需由您自行承担，Skyee不对汇率变动导致的损失承担任何责任。实际出账金额以Skyee或合作银行实际结汇时的汇率进行结算，可能与提交汇款申请服务页面所展示预计出账金额存在差异，出账金额以实际出账金额为准；

1.4.3 For currency exchange, the exchange rate shown on the page is only a reference rate and is provided by the partner bank. The actual exchange rate will be locked when you initiate the "Confirm Rate" and once you have done so, you accept the exchange rate displayed on the page at the time of your confirmation. You acknowledge and understand that you are solely responsible for any losses arising from changes in the exchange rate and that Skyee is not responsible for any losses arising from changes in the exchange rate. The actual billing amount is based on the exchange rate when Skyee or the partner bank actually settles the remittance, which may differ from the estimated billing amount shown on the service page of the remittance application submission, and the billing amount shall be subject to the actual billing amount.

1.4.4服务页面列明的相关服务费为Skyee根据您所提交信息而向您收取的服务费，具体服务费将以实际出账金额为准；

1.4.4 The service fees listed on the Service pages represent fees charged by Skyee for services based on the information you provide, and the specific service fees will be determined according to the actual billed amount.

1.5为提供本服务，您同意并授权Skyee将前述信息传输到Skyee关联企业、合作机构和/或合作银行，您也同意Skyee及其关联企业或合作银行根据相关法律法规要求为您办理国际收支申报（若有）进行数据报送。

1.5 To provide the Service, you hereby agree and authorize Skyee to transmit the aforementioned information to Skyee's affiliates, partners and/or partner banks, and you hereby agree that Skyee and our affiliates or partner banks will report the data as required by relevant laws and regulations for processing balance of payments declarations (if any) for you.

二、关于使用本服务

II. On the Use of the Service

2.1您必须拥有依据法律签订协议的资格。您必须年满十八(18)周岁且您能根据适用法律签署具有法律制约性的合同，方可作为汇款人访问或使用本服务。其他限制条件可能同时适用。

2.1 You must be eligible to enter into an agreement under the law. To access or use the Service as a remitter, you must be at least eighteen (18) years in age and you must have the capacity to enter into a legally binding contract under applicable law. Other restrictions may also apply.

2.2您在访问和使用本服务时可能会消耗网络流量，由此产生的流量费等费用由您的电信服务提供商收取，具体收费标准请向您的电信服务提供商咨询。我们概不承担您在使用此服务时候，服务运营商向您收取的任何数据流量费用和其他费用。

2.2 You may consume network traffic when accessing and using the Service and may be charged by your telecommunications service provider for any traffic charges incurred. Consult your telecommunications service provider for exact charges. Any data traffic charges, and other fees charged to you by the telecommunications service provider in connection with your use of the Service will not be covered by us.

2.3某些用户无法使用:本服务在不同国家/地区及司法管辖区内可能会出现部分或全部功能无法使用的情形，具体视当地法律法规而定。

2.3 Unavailability for some users: Some or all features of the Service may be unavailable in different countries and jurisdictions, subject to local laws and regulations.

2.4使用本服务,您必须满足Skyee或合作机构用户协议的资格要求。

2.4 To use the Service, you must satisfy the eligibility requirements of any User Agreement of Skyee or our partner.

2.5请您确认允许SkyRemit与Skyee或合作机构仅在出于为您提供服务之必要的目的，而与您的汇款人分享您提供给SkyRemit的信息。您还确认您的收款人是您本人的账户，并且您允许向SkyRemit与Skyee或合作机构提供所必须的身份信息(包括但不局限于姓名、国籍、证件号码、银行账户信息，联系地址等)。您进一步承诺并确认您已阅读并同意我们和合作机构的隐私条款。

2.5 Please acknowledge that you allow SkyRemit and Skyee or our partner to share the information that you provide to SkyRemit with your remitter only for such purposes as are necessary for the provision of the Services to you. You also acknowledge that your recipient is your own account and that you allow SkyRemit and Skyee or our partner to have access to the necessary identification information (including, but not limited to, name, nationality, identification number, bank account information, contact address, etc.). You further undertake and acknowledge that you have read and agreed to the Privacy Policy of us and our partner.

2.6使用本服务，您必须满足您所在国家和地区的汇款服务要求，并且您同意受Skyee或合作机构用户协议约束。

2.6 To use the Service, you must meet the requirements of the remittance service in your country and region, and you agree to be bound by the User Agreement of Skyee or our partner.

2.7访问和使用本服务,即表示您满足这些要求,并且您已仔细阅读本协议的全部内容及同意受本协议约束。

2.7 By accessing and using the Service, you are indicating that you meet these requirements and that you have read this Agreement in full and agree to be bound by it.

2.8您使用您的账户及其密码进行的一切操作行为均视作您的行为，您需对您的账户下的一切操作行为负责。如您发现有第三人冒用或盗用您的账号及其密码，或其他任何未经合法授权的情形，应立即通知Skyee，并要求Skyee暂停相关服务。同时，您理解并同意，Skyee在接受您的上述有效通知后对您的请求采取行动需要合理期限，在此之前，Skyee对已执行的指令及所导致的损失均不承担任何责任。

2.8 All actions that you take with your account and your password are deemed to be your acts and you shall be responsible for all actions taken under your account. If you become aware of any fraudulent or misappropriated use of your account and password by a third party, or any other unauthorized use of your account, you should immediately notify Skyee and request Skyee to suspend the relevant services. You also understand and agree that a reasonable period of time will be required for Skyee to act on your request after receiving a valid notice from you as aforesaid and that Skyee shall not be liable for any instructions that have been executed and for any losses incurred until then.

2.9 Skyee在收到您的有效指令后将在合理时间内把您的汇款款项支付至您本人账户。如果Skyee收到您的支付汇款指令的时间为非工作日（工作日指中国大陆、中国香港或交易涉及的其他国家或地区的法定工作日），则Skyee将顺延到下一个法定工作日的工作时间进行操作。您应当合理安排您的账期，及时提交与您相应的支付指令，Skyee将在合理时间内执行您的支付指令，但Skyee对您汇款的完成时间不做任何承诺，且不就该等完成时间在此向您做任何陈述或保证。对于处理汇款过程中您的收款人银行（或其代理银行）造成的任何延误，我们不承担责任，因此我们不保证收款人银行将在其收到汇款当日把资金提供给您的收款方账户。

2.9 Skyee will credit your remittance to your own account within a reasonable time after receiving a valid instruction from you. If the time Skyee receives your payment instruction is a non-business day (a business day refers to a legal business day in Mainland China, Hong Kong, China or other countries or regions involved in the transaction), Skyee will postpone the operation to the next legal business day during business hours. You should schedule your payment period appropriately and submit your payment instructions at the opportune time. Skyee will execute your payment instructions within a reasonable time, but Skyee makes no commitment as to when your remittance will be completed and makes no representations or warranties to you herein as to such completion time. For any delays in processing the remittance by your recipient bank (or your nominated bank), we assume no responsibility. We therefore do not guarantee that the recipient bank will make the payment available to your recipient account on the day it receives the payment.

2.10 您同意Skyee有权在如下情况自行决定拒绝、挂起、或延迟执行任何汇款申请，并不承担因此造成的任何责任：

2.10 You agree that Skyee is entitled, at our sole discretion, to refuse, suspend, or delay the execution of any remittance application and shall not be liable for any liability resulting from the following:

2.10 .1您的汇款申请不在我们可接受的服务范围内；

2.10 .1 Your remittance application is not covered under our acceptable services.

2.10 .2您提供的信息材料（包括但不限于必要凭证）或汇款指令不真实、不完整、不准确或不合法；

2.10 .2 The information materials (including but not limited to the necessary vouchers) or remittance instructions provided by you are untrue, incomplete, inaccurate or unlawful

2.10 .3您的汇款申请违反或可能违反适用于您汇款申请的法律法规、监管规定、政府政策、业务规则等规定；

2.10 .3 Your remittance application violates or may violate the laws, regulations, regulatory requirements, government policies, business rules and other provisions applicable to your remittance application.

2.10 .4您的汇款申请相关内容涉嫌违反相关规则或违反我们关于反洗钱、制裁、合规、风控等的相关规定；

2.10 .4 Your remittance application related content is suspected of violating the relevant rules or violating our relevant rules on anti-money laundering, sanctions, compliance, risk control, etc.

2.10.5根据本协议另有约定的情况。

2.10.5 Circumstances that are otherwise agreed under this Agreement.

2.11非因Skyee违规经营情形下，如因法律法规、监管规定和/或政府政策这些因素变化原因导致相关款项无法汇至您指定收款方账户，Skyee对此不承担任何责任。若Skyee认为执行您的支付指令将使Skyee或其关联公司将违反法律法规或监管规定的，Skyee有权不执行相关的指令。

2.11 Skyee is not liable for any failure to remit payments to your designated recipient account due to changes in laws, regulations and/or government policies that are not due to Skyee's non-compliance. If Skyee believes that by executing your payment instructions, Skyee or our affiliates will be in breach of laws, regulations or regulatory requirements, Skyee reserves the right not to execute such instructions.

三、访问和使用要求

3.1访问和使用本服务,您需要一台支持SkyRemit并拥有互联网接入功能的设备。您负责设备和相关配套的安装、维护和操作。此外您还需负责在设备上进行合适的病毒防护措施。公司概不负责用户由于设备错误或故障造成的任何损失，公司概不负责用户设备由于病毒,间谍软件,恶意软件,蠕虫或相关的问题造成的任何损失。

3.1 To access and use the Services, you should have a device that supports SkyRemit and has internet access. You should undertake the installation, maintenance and operation of the device and associated ancillary equipment. In addition, it is your responsibility to install appropriate virus protection on the equipment. We are not responsible for any damage caused by errors or malfunctions in your equipment. Neither shall we be liable for any loss of user equipment due to viruses, spyware, malware, worms or related problems.

3.2此外，对于您提供给我们的信息延迟(包括但不限于:服务运营商延迟，互联网浏览器故障等)造成的任何损失，公司概不负责。您在访问和使用本服务时可能会消耗网络流量，您将承担由此产生的流量费等费用，具体收费标准请向您的电信服务提供商咨询。

3.2 Furthermore, we are not responsible for any losses arising from delays in the information you provide to us (including but not limited to: delays by the service operator, Internet browser failures, etc.). You may consume network traffic when accessing and using the Service and you should pay for the traffic charges and other costs incurred as a result. Please check with your telecommunications service provider for exact charges.

四、要约和承诺

IV. Offers and Commitments

如果您提交一笔交易，则表示请求Skyee和/或合作机构处理这笔交易。对此要约，Skyee和/或合作机构有权通过自行决定接受或是拒绝。

If you submit a transaction, you are requesting Skyee and/or our partner to process that transaction. Skyee and/or our partner reserves the right to accept or reject the offer at our sole discretion.

五、关于汇款

V. About Money Remittance

5.1您必须确保您进行汇款时应提供的交易信息是准确的，包括但不限于收款人全名、联系方式、收款人的银行账户详细信息、汇款金额、为您的支付订单提供资金的支付方式的详细信息等。就货币兑换、支付、结算指令，因您提供信息不准确或不完整，导致没有执行或执行有瑕疵的，Skyee及合作机构不承担任何赔偿责任。此外，基于不可抗力等不可控制的原因导致的执行失败或延迟的，SKYEE及合作机构也不承担任何赔偿责任。

5.1 You must ensure that the transaction information you provide when making a remittance is accurate, including but not limited to the full name of the recipient, contact details, the recipient's bank account details, the amount of the remittance, details of the payment method used to fund your payment order, etc. Skyee and our partner are not liable for any non-execution or deficient execution of currency exchange, payment or settlement instructions where the information provided by you is inaccurate or incomplete. In addition, Skyee and our partner will not be liable for any failure or delay in execution due to reasons beyond our control, such as force majeure.

5.2您同意对于自己提交的每笔交易，除交易金额外，Skyee将就其在本协议项下所提供的SkyRemit服务向您收取相关的服务费用，每笔汇款交易的服务费为元人民币，但您知晓并同意，每笔汇款交易的服务费存在浮动，其所适用的费率将由Skyee在其网站或届时的操作页面予以公布，并可能不时进行修改。您对SkyRemit服务的使用或继续使用即表示您同意该等费率或修改后的费率。若您不同意该等费率或费率修改，请及时联系Skyee以停止供SkyRemit服务，服务费将会从您的交易金额中扣除，您清楚并明白，SkyRemit页面展示的汇率仅为参考汇率，由合作银行提供汇率标价。实际汇率将在您发起“确认汇率”时锁定，一旦您发起了“确认汇率”，表示您接受您确认时页面展示的汇率，可能与提交汇款申请服务页面所展示预计出账金额存在差异，出账金额以实际出账金额为准。

5.2 You agree that for each transaction submitted by you, Skyee will charge you a service fee of RMB79 per remittance transaction, on top of the amount of the transaction, for the SkyRemit service provided by Skyee under this Agreement. However, you acknowledge and agree that the service fee for each remittance transaction is subject to fluctuation and that the applicable rate will be posted by Skyee on our Website or on our operation page at that time and may be revised from time to time. Your use or continued use of the SkyRemit Services constitutes your agreement to these rates or the revised rates. If you do not agree to these rates or the revised rates, please contact Skyee immediately to discontinue providing the SkyRemit service and the service fee will be deducted from the amount of your transaction. You are aware and understand that the exchange rates displayed on the SkyRemit pages are indicative rates only and are provided by our partner banks. The actual exchange rate will be locked when you initiate the "Confirm Rate" and once you have done so, you accept the exchange rate displayed on the page at the time of your confirmation. There may be a discrepancy between the estimated amount to be billed and the actual amount to be billed as shown on the service page where the remittance application is submitted. The billing amount will be based on the actual amount to be billed.

5.3 若您对Skyee或合作银行/第三方支付机构基于本服务扣收的任何服务费的金额有任何疑义的，请及时与Skyee的客服联系以进行对账和/或账务更正。

5.3 If you have any doubts regarding the amount of service fees deducted by Skyee or partner banks/third-party payment institutions through this service, please promptly contact Skyee Customer Service for reconciliation and/or account correction.

5.4 如果相关交易需要从汇款人银行账户扣款，您同意Skyee或合作机构出于确认账户所有权的目的，可随时从您的银行账户中扣除低于转账金额的资金。

5.4 If the relevant transaction requires a debit from the remitter's bank account, you agree that Skyee or our partner may at any time debit your bank account up to the amount of the transfer for the purpose of validating account ownership.

5.5为了方便您向我们和/或合作机构汇款，您在使用本服务时需授权Skyee或合作机构访问您所提供的任意汇款工具，并授权我们和/或合作机构从中收款或扣款。

5.5 To facilitate your transfer of payments to us and/or our partner, you need to authorize Skyee or our partner to access any money transfer facility provided by you when you use the Service and authorize us and/or our partner to receive or debit payments from it.

5.6您知晓并同意此部分仅为概述性描述，如您与Skyee或合作机构之间的用户协议关于汇款另有约定，请以Skyee或合作机构用户协议为准。

5.6 You acknowledge and agree that this section is only a general description and that if the User Agreement between you and Skyee or a partner provides otherwise in relation to remittances, the User Agreement of Skyee or our partner shall prevail.

六、合规和使用限制

VI. Compliance and Usage Restrictions

6.1反洗钱和打击资助恐怖主义。

6.1 Anti-Money Laundering and Combating the Financing of Terrorism.

Skyee及合作机构受当地地区适用法律的约束，其开展的业务受打击洗钱和恐怖主义融资的司法机关管辖。为了遵守此类反洗钱法律，Skyee已实施相关政策并有打击洗钱和恐怖主义融资的相关程序。您同意Skyee保留从您那里获取信息和文件的权利，包括但不限于有关（i）您的身份信息;（ii）您交易对象的有关信息等（统称为“合规信息”）。

Skyee and our partner are subject to the applicable laws of our local jurisdictions and the business they operate is governed by the jurisdictions that combat money laundering and terrorist financing. To comply with such anti-money laundering laws, Skyee has enforced relevant policies and has procedures in place to combat money laundering and terrorist financing. You agree that Skyee reserves the right to obtain information and documents from you, including but not limited to, information relating to (i) your identity; (ii) the person with whom you are transacting business, etc. (collectively, "Compliance Information").

6.2关于您使用Skyee的服务，您必须遵守如下要求：

6.2 With respect to your use of the Services offered by Skyee, you must comply with the following requirements:

（i）不违反任何反洗钱法;

(i) not violate any anti-money laundering laws;

（ii）不参与可能涉及洗钱、恐怖主义融资或其他非法活动;

(ii) not engage in activities that may involve money laundering, terrorist financing or other illegal activities;

If Skyee believes that you have been potentially involved in illegal activity, Skyee reserves the right, in our sole discretion, to: (i) terminate this Agreement; (ii) terminate or suspend your access to your Skyee account; (iii) stop or suspend the execution of any transactions; (iv) restrict or refuse to provide services to you; and/or freeze some or all of your Skyee balance with appropriate government agencies and/or awaiting further instructions from governmental authorities.

Your transaction may be delayed or canceled before the recipient receives the appropriate amount, for which no further notice will be given. Your transaction may be delayed or canceled by us and/or our partner for several reasons, including but not limited to: identity verification; transaction instruction and remittance instrument verification; anti-fraud and anti-money laundering law compliance review; contacting and locating you, a partner, service provider, your remitter or recipient; service delays may also be occasioned by the opening hours, system availability and currency availability of Skyee or our partner and/or service providers. However, you are entitled to a refund in certain circumstances as described in [Errors and Refunds] hereunder.

6.5 You agree to use the Service only to transfer payments to your own account overseas and for personal purposes. If we and/or our partner discover that you have used the Service to request or send transactions to a business or other non-natural person entity, or to make payments to service companies for services other than those specified in the Service, we and/or our partner may, at our sole discretion, cancel your transactions and close your and/or your remitter's or recipient's accounts, and you will be solely responsible for all consequences and legal liabilities arising therefrom.

6.7 Prohibited Transactions: You must not use the Service in violation of this Agreement or any applicable law, regulation, rule or provision. You will be in breach of this Agreement if you use the Service for any of the following activities, including but not limited to: pornographic materials or services; gambling activities; fraud; money laundering; financing of terrorist organizations; dealing in tobacco, arms, prescription drugs or other controlled substances; or remitting funds to any recipient that is in breach of this Agreement. If you use the Service for any illegal activity, we reserve the right to cancel your transaction at our sole discretion and to report it to the relevant law enforcement authorities. This Service is created to help customers to transfer money to your own account overseas. If a transaction appears to be used for a prohibited purpose under this Agreement, including requesting or sending a transaction to a business or other non-natural person entity, we and/or our partner may, at our sole discretion, cancel the transaction and close your account. You acknowledge that you assume responsibility for your use of the Services in breach of this Agreement and that you are solely liable for all consequences and related legal liabilities arising from prohibited transactions.

We and/or our partner may not accept any remittance instruments from all users. We and/or our partner may, at our sole discretion, decline transactions using certain remittance instruments. We and/or our partner may, at our sole discretion, reject payments from certain remitters, or to certain recipients or partners, or service providers.

We and/or our partner may, in our sole discretion, reject any transaction or close multiple accounts held by an individual, a person related to that individual or a person living in the same household as that individual at any time.

6.13 You acknowledge and agree that if there are additional restrictions in the User Agreement between you and Skyee or our partner, you will also be required to comply with such additional restrictions and you further acknowledge and agree that the restrictions in this Section I regarding the transfer amount and Section III regarding the purpose of the transfer have precedence and that notwithstanding any other agreement in the User Agreement of Skyee or our partner, Sections I and III shall take precedence.

15.1 The laws of the Mainland of China shall apply to the conclusion, validity, interpretation, amendment, supplementation, termination, enforcement and dispute resolution of this Agreement; in the absence of relevant provisions in the law, reference shall be made to commercial practices and/or industry practices.

15.2您和我们之间就本协议有关的任何争议均可向广州仲裁委员会南沙国际仲裁中心提起仲裁。

15.2 Any dispute between you and us arising out of this Agreement may be submitted to arbitration at the Guangzhou Arbitration Commission Nansha International Arbitration Center.
